Terms of Service

1. Agreement to Terms

By engaging Citrine Automations ("Company", "we", "us") for services, you ("Client") agree to be bound by these Terms of Service. Please read them carefully before proceeding. If you do not agree to these terms, do not use our services.

2. Services

Citrine Automations provides AI-powered workflow automation, CRM integration, lead generation systems, and related digital services. The specific scope, deliverables, and timeline for each engagement are defined in a separate Statement of Work or project agreement signed by both parties.

We reserve the right to refuse service, modify the scope of services, or terminate a project if the client's intended use violates applicable laws or these terms.

3. Client Responsibilities

You agree to:

  • Provide accurate, complete, and timely information required to deliver services
  • Ensure you hold all necessary rights and permissions for any data, content, or systems you provide to us
  • Designate a point of contact who has authority to make project decisions
  • Respond to requests for feedback or approvals within the timeframes agreed upon

Delays caused by your failure to meet these responsibilities may affect delivery timelines and do not entitle you to refunds or penalties against Citrine Automations.

4. Intellectual Property

Upon receipt of full payment, Citrine Automations assigns to you all rights to the custom deliverables created specifically for your project. We retain ownership of our proprietary frameworks, methodologies, templates, and any pre-existing tools or components incorporated into the work.

You grant us a non-exclusive license to use your name and a general description of the work (e.g., "AI workflow automation for a marketing agency") in our portfolio and case studies, unless you request otherwise in writing.

5. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement. This obligation survives termination of the project. Neither party shall disclose the other's confidential information to third parties without prior written consent, except as required by law.

6. Payment

Payment terms are specified in your project agreement. Invoices not paid within the agreed period may result in suspension of work. We reserve the right to charge interest on overdue balances at the rate permitted by applicable law.

All fees are non-refundable unless otherwise stated in your project agreement. In the event of a scope change requested by the client, additional fees may apply.

7. Disclaimer of Warranties

Our services are provided "as is." While we strive for excellence, we make no warranty that automations, integrations, or AI systems we build will be uninterrupted, error-free, or achieve specific business outcomes such as revenue targets or lead volume. Results depend on factors outside our control, including third-party platforms, your data quality, and market conditions.

8. Limitation of Liability

To the maximum extent permitted by law, Citrine Automations' total liability to you for any claims arising from these terms or your use of our services shall not exceed the total fees paid by you in the three (3) months preceding the claim. We are not liable for indirect, incidental, special, or consequential damages.

9. Termination

Either party may terminate a project with written notice as specified in the project agreement. Upon termination, you owe payment for all work completed to date. We will deliver all completed work product upon receipt of final payment.

10. Governing Law

These Terms are governed by applicable law. Any disputes shall be resolved through good-faith negotiation first. If unresolved, disputes will be submitted to binding arbitration in the jurisdiction of Citrine Automations' principal place of business.

11. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated via email or notice on this page. Continued use of our services after changes constitutes acceptance of the updated terms.
